Know MoreThese Terms and Conditions (“Terms”) govern the use, sale, and distribution of products and services provided by ABN Technology Inc. (“ABN”). By engaging with ABN, you (“Customer” or “Reseller”) agree to be bound by these Terms.
» “Products” means hardware, software, or related items sold by ABN.
» “Customer” means the purchaser or end user of Products.
» “Reseller” means an authorized partner engaged in reselling ABN’s Products.
2.1 All orders are subject to acceptance by ABN in writing.
2.2 ABN reserves the right to reject any order without liability.
3.1 Prices are exclusive of taxes, shipping, and handling unless otherwise stated.
3.2 Payment terms are [30] days from invoice unless otherwise agreed in writing.
3.3 Late payments may incur interest at 1.5% per month or the maximum allowed by law.
4.1 Delivery dates are estimates and not guaranteed.
4.2 Risk of loss passes to Customer upon delivery to the carrier.
5.1 ABN warrants Products against defects in material and workmanship for [12] months from shipment.
5.2 ABN’s sole obligation is repair or replacement of defective Products.
5.3 Warranty excludes misuse, unauthorized modification, or improper installation.
6.1 Products may only be returned with prior written authorization (RMA).
6.2 Returned Products must be in original packaging and condition.
6.3 Unauthorized returns may be rejected or subject to restocking fees.
7.1 No Lawsuits for Product Issues
Customers and Resellers agree that they shall not bring any legal action, claim, or lawsuit against ABN for any product defaults, technical errors, glitches, or system malfunctions.
7.2 Exclusion of Indirect Losses
ABN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, EVEN IF ABN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.3 Financial Limitation
ABN shall not bear any financial losses, claims, or damages incurred by Customers or Resellers as a result of product defaults, technical errors, or glitches.
7.4 Cap on Liability
ABN’s total cumulative liability in connection with this Agreement and the Products shall not exceed the amounts paid by Customer to ABN for the specific Products giving rise to the claim in the twelve (12) months preceding the claim.
8.1 All intellectual property rights in Products remain with ABN.
8.2 Customer and Reseller shall not reverse-engineer, copy, or misuse ABN’s intellectual property.
Both parties agree to maintain the confidentiality of proprietary or sensitive information shared under this Agreement.
This Agreement shall be governed by and construed under the laws of the Province of Alberta and the federal laws of Canada applicable therein.
These Terms may be updated by ABN at any time. Continued purchase or resale of Products after updates constitutes acceptance of the revised Terms.
12.1 Commitment to Privacy
ABN is committed to protecting the privacy and security of Customer and Reseller data. ABN shall collect, use, and process personal information only as necessary to provide Products and services, improve offerings, and comply with legal obligations.
12.2 Consent
Customer and Reseller consent to ABN’s collection and use of data as outlined in this Privacy Policy. ABN may update this Privacy Policy from time to time, and continued use of ABN’s Products or services shall constitute acceptance of the updated terms.
12.3 Use and Disclosure of Information
ABN shall not sell, lease, or disclose personal information to third parties except as required for:
